By accessing www.miandi.shop or using our services, you agree to these Terms. If you disagree, do not use our Site or services. We may update these Terms; continued use after changes constitutes acceptance.
We provide computer systems design, integration, cloud architecture, cybersecurity, data engineering, and IT consulting. Specific scope, deliverables, timelines, and fees are defined in separate Service Agreements or Statements of Work.
Lawful use only. Prohibited: violating laws, unauthorized access, malware, disruption, automated extraction, misrepresentation. Account holders are responsible for login credentials.
All Site content owned by us. "Miandi International" is our trademark. Client deliverables transfer on full payment. No reproduction or distribution without written consent.
Provide accurate information, designate authorized contact, ensure proper licensing, cooperate, pay fees, comply with laws.
30-day terms. 1.5% monthly late interest. Client pays taxes. Suspension for non-payment. Non-refundable unless stated.
Both parties protect confidential information for 5 years post-termination (indefinitely for trade secrets). Use limited to engagement purposes.
Capped at fees paid in prior 12 months. No indirect, incidental, consequential, or punitive damages.
Services "as is." All implied warranties disclaimed including merchantability and fitness.
You indemnify us against claims from your violation of these Terms or applicable law.
30-day notice. Immediate for material breach uncured within 15 days. Fees to termination date remain payable.
Neither party liable for events beyond reasonable control.
PRC law. 30-day negotiation, then CIETAC arbitration in Kunming, English. Award final and binding.
